Terms of Service

FOR RESEARCH USE ONLY (RUO). All products sold by ELYTRALABS LLC (operating as Elytra Labs) are intended exclusively for in-vitro and animal-model laboratory research. Products are not approved by the FDA or any regulatory body for human or veterinary therapeutic use, diagnosis, treatment, cure, or prevention of any disease or condition.

These Terms of Service are entered into between you ("Customer," "you," or "your") and ELYTRALABS LLC, a Florida limited liability company doing business as Elytra Labs ("Elytra Labs," "we," "us," or "our"). Contact: support@elytralabsca.ca.

1. Acceptance of Terms

By accessing or using elytralabsca.ca ("the Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or purchase products from us.

2. Eligibility

You must be at least 21 years of age and legally capable of entering into binding contracts to use the Site or purchase products. By using the Site, you represent and warrant that:

  • You are at least 21 years of age
  • You are a qualified researcher acting on behalf of a research entity, or an individual with a legitimate need for research-grade compounds
  • You will use products solely for in-vitro and animal-model laboratory research purposes
  • You will comply with all applicable local, state, federal, and international laws governing the possession, handling, storage, and use of research compounds

3. Research Use Only — No Therapeutic Claims

All products sold by Elytra Labs are sold solely for laboratory research purposes. We make no claims, representations, or warranties — express or implied — regarding the safety, efficacy, or suitability of any product for human or veterinary use, diagnosis, treatment, cure, or prevention of any disease or condition.

You expressly agree that you will not:

  • Administer any product to yourself, another human, or any animal outside of an approved laboratory research context
  • Resell, redistribute, or otherwise transfer products in any manner inconsistent with research use
  • Use, market, or label any product as a dietary supplement, food, drug, cosmetic, or therapeutic agent
  • Make any therapeutic, prophylactic, or diagnostic claims about any product

4. Account Registration

To place certain orders or access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration.

5. Orders, Pricing, and Payment

All orders are subject to acceptance by Elytra Labs. We reserve the right to refuse or cancel any order for any reason, including but not limited to suspected fraud, regulatory concerns, or inventory shortages.

Prices are listed in US dollars and are subject to change without notice. Payment must be received in full before shipment. Accepted payment methods are listed at checkout.

6. Shipping

Elytra Labs ships within the United States only. Estimated delivery is 2–5 business days from order processing. Risk of loss and title for products pass to you upon delivery to the carrier. See our Shipping Policy for full details.

7. Returns and Refunds

Due to the nature of research-grade compounds, all sales are final and we do not offer refunds. We do, however, offer reshipments at our discretion in cases where a package failed to arrive or arrived damaged. See our Refund & Reship Policy for full terms.

8. Loyalty and Affiliate Programs

Loyalty points and affiliate commissions are awarded subject to program rules described on the Site. We reserve the right to modify, suspend, or terminate either program at any time, and to revoke points or commissions obtained through fraud or program abuse.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Products are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied
  • Elytra Labs disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement
  • Elytra Labs is not liable for any indirect, incidental, consequential, special, or punitive damages arising from product use
  • Elytra Labs's total aggregate liability shall not exceed the amount you paid for the specific product giving rise to the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Elytra Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of any product, including any non-research use
  • Your violation of these Terms
  • Your violation of any law or third-party right

11. Intellectual Property

All content on the Site — including text, graphics, logos, images, audio, software, and the compilation thereof — is owned by Elytra Labs or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

12. Prohibited Uses

You may not use the Site to:

  • Violate any applicable law or regulation
  • Engage in any fraudulent, deceptive, or harmful conduct
  • Interfere with the operation or security of the Site
  • Attempt to gain unauthorized access to any part of the Site or any other systems
  • Scrape, harvest, or collect data without authorization
  • Resell or redistribute products in violation of these Terms

13. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Material changes will be communicated via the Site or email. Continued use of the Site after changes constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding individual arbitration under the rules of the American Arbitration Association, and you waive any right to participate in a class-action or class-wide arbitration. Notwithstanding, either party may seek injunctive relief in any court of competent jurisdiction for matters of intellectual property infringement.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
